Where to find this documentation:
You can retrieve all the necessary documents from your registered Agent.
1. Certificate of Incorporation
This is the official document issued by a government authority that formally confirms your company has been legally created and registered as a corporate entity, including its name, registration number, legal form, and date of incorporation. You received this document from the Special Economic Zone Authority at the time of incorporation. If you no longer have it, contact your registered agent or the SEZ Authority directly to request a certified copy. It must carry the official stamp of the SEZ Authority. This is a historical document; the date on it will be your incorporation date.
2. Articles of Incorporation (Memorandum and Articles of Association)
This is the founding document that defines your company's purpose, structure, share capital, and governance rules. You received this document at the time of incorporation, issued and stamped by the SEZ Authority. It is signed by the founding shareholders or your registered agent at the time of incorporation. This is a historical document; the date on it will be your incorporation date.
3. Register of Directors
The Register of Directors is maintained internally by your company or by your registered agent. It is not a public document. You can provide a self-prepared document listing all current directors with their full name, title, address, nationality, country of residence, and date of appointment. The document must be signed by the owner or legal representative of the company, either by hand or using a certified digital signature provider. Simple electronic signatures are not acceptable. The document must be dated within 90 days of your submission to us.
4. Register of Shareholders
Your company or registered agent maintains the Register of Shareholders internally, and it is not publicly filed. You can provide a self-prepared document listing all current shareholders with their full name, address, nationality, country of residence, and ownership percentage. The document must be signed by the owner or legal representative of the company, either by hand or using a certified digital signature provider. Simple electronic signatures are not acceptable. The document must be dated within 90 days of your submission to us.
5. Certificate of Good Standing
The SEZ Authority issues a formal Certificate of Good Standing confirming that your company is active, compliant with its obligations within the SEZ, and has not been struck off or dissolved. It is not issued at incorporation and must be requested each time it is needed. Contact your registered agent or the SEZ Authority directly to request it. This document must be dated within 90 days of your submission to us. It must carry the official stamp of the SEZ Authority.
Shareholders:
Each shareholder who owns more than 5% will have their identity checked (KYC). Once you have submitted your business documents, you will add the shareholders.
Each shareholder will receive an email to complete their KYC. They will need to upload their passport and proof of address dated within the last 3 months.
Once all business documentation and shareholders' identities have been checked, your account will be approved. Usually taking 1-3 business days.
